Zentro is a software tool, not a licensed tax professional. Nothing in the Zentro platform constitutes professional tax, legal, or accounting advice. Always consult a qualified tax professional before making tax-related decisions.

1. Acceptance of Terms

• By creating an account or using the Zentro platform, you agree to be bound by these Terms of Service and our Privacy Policy.

• If you are using Zentro on behalf of a business, you represent that you have the authority to bind that business to these terms.

• We may update these terms from time to time. Continued use of the service after updates constitutes acceptance of the revised terms.

2. Service Description

• Zentro is an AI-powered financial organization and tax intelligence tool. We analyze financial transactions, surface potential tax deductions, and generate reports to help you prepare for tax filing.

• Zentro is currently in beta. Features, pricing, and availability may change during the beta period.

• We do not guarantee the completeness, accuracy, or fitness for any particular purpose of information provided by the service.

3. Not Professional Tax Advice

• IMPORTANT: Zentro is a software tool that provides AI-generated analysis and information. Zentro is NOT a licensed tax professional, CPA, enrolled agent, or attorney.

• Nothing on the Zentro platform constitutes professional tax advice, legal advice, or accounting advice. You should always consult a qualified tax professional before making tax-related decisions.

• Zentro's classifications, deduction suggestions, and estimates are for informational purposes only. They may contain errors and should not be relied upon as a substitute for professional tax guidance.

• Zentro is not liable for any tax underpayment, penalties, interest, or other consequences resulting from your use of or reliance on the service.

4. User Accounts

• You are responsible for maintaining the security of your account credentials. Do not share your password with anyone.

• You must provide accurate and complete information when creating your account.

• You are responsible for all activity that occurs under your account.

• You must notify us immediately at zentrotax@gmail.com if you suspect unauthorized access to your account.

5. Payment and Billing

• Paid plans are billed quarterly in advance. All prices are shown in USD.

• Beta founding member pricing is locked in for the lifetime of the founding member's account as long as the subscription remains active.

• Payments are processed by Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods.

• We reserve the right to change pricing with 30 days' written notice. Founding member pricing is exempt from price increases.

6. Acceptable Use

• You agree to use Zentro only for lawful purposes and in accordance with these terms.

• You may not use Zentro to process transactions or data for activities that are illegal under applicable law.

• You may not attempt to reverse engineer, decompile, or extract the Zentro AI model or proprietary algorithms.

• You may not use automated tools to scrape, bulk download, or otherwise extract data from the Zentro platform beyond normal use.

• You may not share, resell, or sublicense your Zentro account access to third parties.

7. Your Data

• You retain full ownership of all financial data you upload to Zentro.

• By using the service, you grant Zentro a limited license to process and analyze your data for the purpose of providing the service.

• We will not sell, share, or monetize your personal financial data. See our Privacy Policy for full details.

• You may export or delete your data at any time from your account settings.

8. Intellectual Property

• The Zentro platform, including its software, AI models, design, and content, is owned by Zentro and protected by intellectual property laws.

• You may not copy, modify, distribute, or create derivative works of any part of the Zentro platform without our written permission.

• The Zentro name, logo, and brand assets are trademarks of Zentro. You may not use them without our written permission.

9. Disclaimer of Warranties

• THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

• ZENTRO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

• ZENTRO DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR FITNESS FOR ANY PARTICULAR PURPOSE OF TAX ANALYSIS, DEDUCTION SUGGESTIONS, OR OTHER CONTENT PROVIDED BY THE SERVICE.

10. Limitation of Liability

• TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENTRO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

• IN NO EVENT SHALL ZENTRO'S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID TO ZENTRO IN THE 12 MONTHS PRECEDING THE CLAIM.

• THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY UNDER WHICH SUCH DAMAGES ARE SOUGHT.

11. Termination

• You may close your account at any time by contacting us at zentrotax@gmail.com or through your account settings.

• We may terminate or suspend your account immediately if you violate these terms, engage in fraudulent activity, or for any other reason at our discretion.

• Upon termination, your right to use the service ceases. We will delete your data in accordance with our Privacy Policy.

12. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

• Any disputes arising from these terms shall be resolved through binding arbitration, except where prohibited by applicable law.

• If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force.
